Welcome to skuuu (“we,” “us,” or “our”). These Terms andConditions (“Terms”) govern your access to and use of our website, platform,tools, services, and any other features provided by skuuu (collectively, the“Services”).

By accessing or using our Services, you agree to be bound bythese Terms. If you do not agree to these Terms, please do not use ourServices.

1. Who We Are

skuuu is a capital advisory and technology platform poweredby artificial intelligence (AI). We help businesses evaluate, connect with, andsecure non-dilutive financing from a network of vetted capital providers. Ourplatform combines the efficiency of AI-driven insights with experienced humanoversight to surface the most relevant capital options.

While we facilitate introductions to capital providers,skuuu does not underwrite loans, make credit decisions, or issue financingdirectly. Final terms and decisions are solely at the discretion of third-partycapital providers.

2. Eligibility

To use skuuu, you must:

• Be at     least 18 years of age;
• Be     authorized to act on behalf of a business or legal entity;
• Submit     accurate, complete, and truthful information during intake and throughout     the engagement.

We reserve the right to decline or suspend access to theServices for any reason, including suspected fraud, misrepresentation, orviolation of these Terms.

3. Our Role

skuuu serves as an intermediary between businesses andcapital providers. We curate financing opportunities based on business profile,lender criteria, and AI-generated matches. However, we do not guarantee:

• That     funding will be secured;
• Any     specific interest rate, terms, or structure;
• That     the selected financing option is the most favorable or suitable for your     needs.

You are solely responsible for assessing the suitability ofany financing product or provider.

4. Use of AI and Limitation of Recourse

skuuu incorporates AI and large language models (LLMs) toassist in evaluating financing pathways and responding to inquiries. While westrive for accuracy and relevancy, the outputs from AI tools may not always becurrent, comprehensive, or fully accurate.

You acknowledge and agree that:

• Information     or suggestions provided by our AI tools do not constitute financial,     legal, or tax advice;
• skuuu     disclaims any liability or damages resulting from decisions made based on     AI-generated content;
• You     should consult with your own advisors before acting on any recommendations     or insights provided.

5. User Responsibilities

By using our Services, you agree to:

• Submit     only documents and information you are authorized to share;
• Maintain     the accuracy and completeness of the materials provided;
• Use     the platform solely for lawful business purposes;
• Refrain     from misrepresenting your financial position, business performance, or     funding intent.

6. Confidentiality and Exclusion Lists

All documents and data shared with skuuu are treated asconfidential and are used solely for the purposes of evaluating financingoptions and facilitating outreach to capital providers.

If you wish to exclude certain lenders or capital providersfrom our outreach efforts, you must provide an exclusion list in writingprior to engagement. We will honor and adhere to this list. No compensationwill be owed to skuuu for transactions completed with excluded parties.

7. Compensation

Our compensation is success-based and fully aligned withyour outcome.

In the event of a successful transaction facilitatedthrough skuuu, we will earn a fee equal to 1.00% of the total amount funded toyour business.

This fee will be due and payable at the time of funding,unless otherwise specified in a written agreement.

8. Intellectual Property

All content, code, algorithms, platform architecture, designelements, and trademarks associated with skuuu are the exclusive property ofSkuuu Inc. or its licensors. You may not reproduce, distribute, modify,reverse-engineer, or commercially exploit any portion of the Services withoutprior written consent.

9. Third-Party Providers

Our platform introduces you to third-party lenders andfinancial institutions. You acknowledge that:

• Any     financing agreement you enter into is strictly between you and the third     party;
• skuuu     is not a party to the financing agreement;
• We are     not liable for performance, conduct, or obligations of any third-party     provider.

We do not provide warranties or representations as to thequality, suitability, or outcome of third-party products or services.

10. No Professional Advice

The content and recommendations presented via skuuu’splatform (whether AI-generated or human-curated) do not constitutelegal, tax, investment, or accounting advice. We strongly encourage you toconsult with professional advisors before making any financing or strategicbusiness decisions.

11. Limitation of Liability

To the fullest extent permitted by law:

• skuuu,     its officers, employees, and contractors shall not be liable for any     indirect, incidental, special, or consequential damages;
• Our     liability under these Terms is capped at the amount you paid to skuuu, if     any;
• We are     not liable for actions or omissions of third-party capital providers or     for reliance on AI-generated outputs.

12. Indemnification

You agree to indemnify, defend, and hold harmless skuuu andits affiliates from any claims, losses, damages, or legal fees arising out of:

• Your     breach of these Terms;
• Misuse     of the platform;
• Inaccurate     or misleading information you provide;
• Disputes     with third-party lenders or service providers.

13. Modifications to Terms

We may revise these Terms at any time. Updates will bepublished on our website with a new "Effective Date." Your continueduse of the platform after changes are posted constitutes your acceptance of therevised Terms.

14. Termination

We reserve the right to suspend or terminate your access tothe Services at our discretion, including for violation of these Terms ormisuse of the platform. Any outstanding fees owed to skuuu shall remain payableupon termination.

15. Governing Law

These Terms are governed by the laws of the State ofFlorida, without regard to its conflict of laws provisions. Any legalproceedings shall take place in a court of competent jurisdiction in Miami-DadeCounty, Florida.
